美國公司類型

美國的企業（business enterprises）按組織形式分為兩大類，即公司（corporation）與非公司型企業（unincorporated business enterprises）。

公司分為閉鎖公司（close corporation）和公眾公司（public corporation）。

非公司型企業分為獨資企業（sole proprietorship）、合伙（partnership）和有限責任公司（limited liability company, LLC），

合伙又進一步分為普通合伙（general partnership, GP）、有限合伙（limited partnership, LP）、有限責任合伙（limited liability partnership, LLP）和有限責任有限合伙（limited liability limited partnership, LLLP）。

有限責任公司在全美國只有二十來年的歷史。1977年，懷俄明州在參考、借鑒歐洲有限責任公司法的基礎上，第一個頒布了有限責任公司法，緊隨其后的是弗羅里達州。但此后十來年的時間里有限責任公司的立法處于停頓狀態。主要原因是有限責任公司能否享受合伙型企業的稅收待遇尚不明確。1988年美國國稅局internal revenue service對有限責任公司免稅的條件作了十分寬松的解釋，使一般有限責任公司事實上都能享有免稅待遇。這一裁決產生了巨大的反響，成了各州迅速進行有限責任公司立法的強大的推動力量。
